This prompt uses precedent information that you provide to draft a new NDA.

How Can I Use This Prompt?

If you have a template NDA, an NDA playbook, or even NDAs that you’ve previously reviewed, attach those documents to the AI chat after opening this prompt in Macro.

Then, change the name of the {{COUNTERPARTY}} to the name of your Counterparty.

If you have no samples or documents to work with, simply send the prompt to the AI chat. The AI will then return a list of questions it needs answers to in order to generate an NDA. Answer those questions and the AI will generate an NDA!

How Can I Modify This Prompt to…

  1. Draft a different kind of legal document?
    1. Anywhere you see the word “NDA”, change it to the document type that you want the AI to generate. Instead of attaching NDAs as examples, attach documents of the new document type.
  2. Modify an existing NDA, instead of creating a new one?
    1. In the first sentence, change “draft a new” to “suggest inline edits to this”.
    2. Remove the sentence that begins with “If there are no sample documents…”
    3. In place of (b), add: “It’s important that you use {{INSERT NAME OF NDA YOU WANT TO MODIFY}} as the base document. I don’t want you to draft a new NDA entirely, but instead suggest edits to the {{INSERT NAME OF NDA YOU WANT TO MODIFY}} based on the other attached documents. Make sure the edits you make are in track changes formatting so I can clearly see the differences.”

Use the best provision you can find across the sample or samples provided if possible, and when relevant, include citations to each provision so I can tell how the document has been stitched together.
If there are no sample documents attached, I want you to ask me, in a single list of no more than 5 questions, key information you will need to draft a standard, template NDA. As this is a legal document, it's important that you're very thorough, careful, and detail-oriented, and that you use legal language like you'd typically find in an NDA. A lawyer will be reviewing your work.
Include formatting for things like headers and lists. DO NOT include any preamble before the NDA or explanations after the answer, just provide the NDA as described.
